You will advise on securities regulation, bond issuance programmes, IPOs, and market abuse compliance under the EU Market Abuse Regulation (MAR) and Danish Securities Trading Act.
What You Will Do
- Advise on bond issuance programmes, covered bond (realkreditobligationer) structuring, and green bond frameworks
- Support IPO and equity capital markets transactions on Nasdaq Copenhagen
- Advise on MAR compliance, insider lists, and market abuse prevention
- Handle prospectus preparation and Finanstilsynet approval processes
- Advise on MiFID II and PRIIPs regulatory compliance for investment products
- Draft ISDA and derivatives documentation
Responsibilities
- Provide capital markets legal advisory for bond and equity transactions
- Draft and review prospectuses and offering documentation
- Advise on securities regulatory compliance and MAR obligations
- Support derivatives and structured products documentation
- Coordinate with external counsel on complex capital markets matters
Requirements
- Cand.jur. from a Danish university or equivalent qualification
- 4-7 years of experience in capital markets, securities law, or banking
- Knowledge of MAR, Danish Securities Trading Act, Prospectus Regulation, and MiFID II
- Fluent in Danish and English
- Experience with bond issuance or equity capital markets transactions
- Understanding of Nordic covered bond markets is an advantage
Compensation
kr50,000 - kr65,000/year
