Associate — Capital Markets

Bell Gully is seeking an Associate for its Capital Markets practice at Level 14, Deloitte Centre, 1 Queen Street, Auckland. Bell Gully advises on New Zealand's most significant NZX listings, debt issuances, and managed fund launches. You will work on IPOs, secondary offerings, and regulatory compliance under the Financial Markets Conduct Act 2013.

Key Responsibilities

• Advise on NZX listings and IPOs including product disclosure statement (PDS) drafting and due diligence under the FMCA 2013
• Handle secondary equity raisings, share purchase plans, and placement documentation for NZX-listed issuers
• Draft and negotiate underwriting agreements and offer documentation for debt and equity transactions
• Advise on NZX Listing Rules, continuous disclosure obligations, and FMA regulatory requirements
• Support managed investment scheme registrations and KiwiSaver scheme compliance

Requirements

• Admitted as a Barrister and Solicitor of the High Court of New Zealand with a current Practising Certificate
• 3-5 years PQE in capital markets, corporate, or financial services law
• Knowledge of the FMCA 2013, NZX Listing Rules, and managed fund regulations
• Excellent attention to detail and ability to manage tight transaction timelines
