Job Description
About the Role
Hammouri & Partners is hiring an Associate for our Corporate and Commercial Law department in Amman. This role involves advising local and multinational clients on company formation, mergers and acquisitions, and commercial transactions governed by Jordanian law.
Responsibilities
- Draft and review commercial contracts, joint venture agreements, and shareholder agreements under the Jordanian Companies Law
- Advise clients on company formation, restructuring, and regulatory compliance with the Companies Control Department
- Conduct due diligence on mergers, acquisitions, and investment transactions in the Jordanian market
- Prepare legal opinions on corporate governance matters and the Jordanian Securities Law
- Liaise with the Ministry of Industry, Trade and Supply and other regulatory authorities
- Assist on cross-border transactions involving MENA jurisdictions
Requirements
- LLB or LLM from a recognised law faculty in Jordan or abroad
- Licensed member of the Jordan Bar Association with 2-5 years post-qualification experience
- Strong knowledge of Jordanian Companies Law No. 22 of 1997 and the Securities Law
- Excellent drafting skills in both Arabic and English
- Experience in M&A transactions and corporate due diligence preferred
- Strong client relationship management and commercial awareness
