Job Description

Legance Avvocati Associati seeks an Associate for its top-ranked Private Equity practice in Milan, headquartered at Via Brera 20 in the Brera arts district. Having advised on EUR 40+ billion in deals in 2024, Legance offers unparalleled exposure to Italy's most significant PE and VC transactions alongside leading fund managers and institutional investors.

Key Responsibilities

  • Advise private equity sponsors on leveraged buyouts, growth investments, and carve-outs of Italian targets
  • Draft and negotiate share purchase agreements, management incentive plans, and co-investment agreements
  • Conduct Italian legal due diligence on target companies
  • Advise on Italian corporate governance (Codice Civile, TUF) and post-acquisition integration

Requirements

  • Laurea Magistrale in Giurisprudenza; LLM from a leading international university preferred
  • Admitted as Avvocato; 3-6 years PQE in M&A or private equity
  • Experience with financial sponsors and fund structures
  • Fluent English mandatory; Italian native

Responsibilities

Advise on LBOs and carve-outs; Draft SPAs and incentive plans; Due diligence; Corporate governance
