Avocat Junior — Droit des Affaires

Madagascar Law Offices is recruiting an Avocat Junior to join its corporate and business law team at the Ankorondrano office in Antananarivo. This entry-level position is designed for newly qualified avocats who have recently obtained their CAPA and are looking to build a career in transactional law. You will work under the mentorship of senior partners on a variety of corporate transactions, company formations, contract negotiations, and regulatory compliance matters.

The role offers broad exposure to Madagascar's business law landscape, including OHADA Uniform Acts, the Code de Commerce, and company law. You will assist with drafting articles of incorporation, shareholder agreements, and commercial contracts while developing your skills in corporate advisory and transactional practice.

• Assist senior avocats with corporate transactions and company formations
• Draft articles of incorporation, bylaws, and shareholder agreements
• Prepare commercial contracts, service agreements, and distribution agreements
• Conduct legal research on OHADA Uniform Acts and Malagasy business law
• Assist with regulatory filings at the Registre du Commerce et des Sociétés (RCS)
• Attend client meetings and take notes under partner supervision
• Support due diligence exercises for M&A and investment transactions
• Prepare legal memoranda and opinions on corporate law questions

• CAPA certification obtained within the last 2 years
• Active enrollment or eligibility for enrollment at the Barreau d'Antananarivo
• Maîtrise en Droit or Master's degree in business law from the University of Antananarivo or equivalent
• Strong academic record and genuine interest in corporate and transactional law
• Fluency in French and Malagasy; English proficiency is an advantage
• Excellent drafting skills and attention to detail
• Willingness to learn and take on increasing responsibility
