Job Description
Blake, Cassels & Graydon LLP (Blakes) is seeking a Corporate Associate to join its market-leading M&A and corporate practice at Commerce Court West on Bay Street, Toronto. You will work on cross-border mergers, acquisitions, and private equity transactions for some of Canada's largest publicly traded companies.
Key Responsibilities
- Draft and negotiate share purchase agreements, asset purchase agreements, and amalgamation documents under the Canada Business Corporations Act
- Conduct due diligence reviews for domestic and cross-border M&A transactions
- Advise on corporate governance matters and securities compliance with the Ontario Securities Commission
- Prepare closing documents and manage post-closing integration matters
- Liaise with regulatory bodies including the Competition Bureau and Investment Canada
Requirements
- Called to the Bar in Ontario (Law Society of Ontario member in good standing)
- 3-5 years post-call experience in corporate/M&A at a major Canadian law firm
- JD or LLB from a recognized Canadian law school
- Strong drafting and negotiation skills
- Experience with securities regulatory filings an asset
