Job Description

Job Summary:

The Company Secretary will ensure the organisationโ€™s compliance with legal, regulatory, and corporate governance requirements in the asset management sector. This role involves providing strategic guidance to the board and senior management, maintaining robust corporate governance frameworks, and facilitating effective communication between stakeholders. The Company Secretary will oversee board meetings, manage statutory records, and ensure adherence to best practices, fostering transparency and accountability.

Responsibilities:

  • Ensure compliance with legal and regulatory requirements, maintaining high standards of corporate governance and ethical practices.
  • Provide strategic guidance to the board of directors, organise meetings, and prepare agendas, minutes, and resolutions.
  • Manage statutory records, filings, and disclosures, ensuring timely and accurate submission to regulatory authorities.
  • Facilitate effective communication between the board, management, shareholders, and external stakeholders.
  • Identify and mitigate corporate risks, ensuring alignment with organisational policies and industry standards.
  • Develop and implement corporate policies, procedures, and frameworks to support governance and compliance objectives.

Qualifications

  • Minimum of 10โ€“15 years experience in corporate governance, compliance, or legal roles, with at least 5 years in a senior company secretarial position.
  • Bachelorโ€™s degree in Law, Business Administration, or a related field; a professional qualification (e.g., ICSA) is highly desirable.
  • In-depth understanding of corporate law, regulatory frameworks, and compliance requirements in asset management.
  • Strong organisational, communication, and interpersonal skills, with the ability to engage effectively with stakeholders at all levels.
  • Proven ability to manage complex statutory processes, maintain accurate records, and ensure timely compliance.
  • Commitment to upholding integrity, transparency, and accountability in corporate governance practices.
  • Must be willing to relocate.
