Corporate M&A Associate — BLC Robert & Associates

BLC Robert & Associates invites applications for a Corporate M&A Associate to join its market-leading transactional practice in Port Louis. Mauritius is experiencing a wave of M&A activity driven by conglomerate restructurings, Stock Exchange of Mauritius (SEM) listings, and cross-border acquisitions — and BLC Robert is involved in virtually every significant transaction on the island.

The Associate will work on domestic and cross-border M&A, private equity investments, and corporate restructurings under the Companies Act 2001, the Securities Act 2005, and the Takeover Rules of the Stock Exchange of Mauritius. The role offers direct engagement with the Registrar of Companies, the SEM, and the Financial Services Commission — providing a front-row seat to Mauritius's most dynamic transactional practice.

Responsibilities

  • Execute M&A transactions from due diligence through closing including SPA negotiation
  • Draft corporate resolutions, board minutes, and shareholder circulars under the Companies Act 2001
  • Prepare regulatory filings with the Registrar of Companies and the Stock Exchange of Mauritius
  • Advise on Competition Commission Mauritius merger control clearance under the Competition Act 2007
  • Coordinate cross-border deal execution with international counsel across multiple jurisdictions
  • Support private equity and venture capital transactions using Mauritius GBC structures

Requirements

  • Barrister or Attorney admitted by the Mauritius Bar Council with 3–6 years' post-admission experience
  • Demonstrable M&A transaction experience including due diligence, SPA drafting, and closing mechanics
  • Knowledge of the Companies Act 2001, Securities Act 2005, and SEM Listing Rules
  • Experience with Competition Commission Mauritius merger clearance processes under the Competition Act 2007
  • Understanding of cross-border transaction structuring through Mauritius GBC vehicles
  • LL.B. with strong academic record; LL.M. in corporate or commercial law preferred
  • Bilingual English and French drafting skills
