Job Description

Corporate Secretarial Paralegal — CIMB Group

CIMB Group is seeking a Corporate Secretarial Paralegal to support its Group Company Secretarial Division in Kuala Lumpur. The role involves maintaining statutory records, filing regulatory returns, and supporting board meeting administration for CIMB's group of companies listed on Bursa Malaysia.

Key Responsibilities

  • Maintain statutory registers, minute books, and corporate records for CIMB Group entities in compliance with the Companies Act 2016
  • Prepare and file annual returns, changes of directors, and share allotments with the Companies Commission of Malaysia (SSM)
  • Assist in the preparation of board papers, meeting agendas, and minutes for board and committee meetings
  • Coordinate the annual general meeting (AGM) process including notice preparation, proxy form management, and results filing with Bursa Malaysia
  • Manage the company secretarial database and ensure accuracy of corporate information
  • Liaise with SSM, Bursa Malaysia, and the Securities Commission Malaysia on compliance filings

This role provides excellent exposure to listed company corporate governance and company secretarial practice at one of Southeast Asia's largest banking groups.

Requirements

  • Diploma or degree in law, corporate administration, or company secretarial practice
  • ICSA (Institute of Chartered Secretaries and Administrators) qualification or MAICSA membership is an advantage
  • 1-3 years of experience in company secretarial or corporate compliance work
  • Strong knowledge of the Companies Act 2016 and Bursa Malaysia Listing Requirements
  • Proficiency in Microsoft Office and company secretarial software (e.g., Boardroom, BoardPAC)
  • Excellent attention to detail and organizational skills
  • Proficiency in English and Bahasa Malaysia
