Job Description
Davies Ward Phillips & Vineberg LLP is hiring a Senior Associate for its top-ranked Private Equity practice at 155 Wellington Street West in Toronto's Financial District. You will work on leveraged buyouts, growth equity investments, and fund formation matters for leading Canadian and international PE firms.

- Lead execution of private equity transactions including LBOs, management buyouts, and recapitalizations
- Draft and negotiate limited partnership agreements, subscription agreements, and side letters for PE fund formation
- Advise on shareholder agreements, earn-out provisions, and management incentive plans
- Coordinate due diligence processes for portfolio company acquisitions
- Advise on regulatory requirements under the Ontario Securities Act and National Instrument 31-103
Requirements
- Called to the Bar in Ontario (LSO member)
- 6-9 years post-call experience in private equity or M&A
- JD/LLB from a top Canadian law school; LLM or MBA an asset
- Experience with fund formation documentation and LP negotiations
- Partner-track ambition with strong business development skills
Responsibilities
PE transactions, LPA drafting, fund formation, portfolio acquisitions, securities compliance
Requirements
Ontario Bar, 6-9 years PE/M&A PQE, JD/LLB, fund formation experience
