Summary of Job Description:

The Legal Counsel is responsible for manage China affiliate’s legal matters across all functional areas. 

The Legal Counsel’s role will include review and drafting of contractual and other documentation, advising legal issues, participation in projects, handling corporate secretarial work, assistance with disputes and litigation management.  He/she is expected to, under supervision of senior legal counsel, closely work with employees in Immuology and Hematology BUs and other departments, especially enabling functions.  There are also opportunities to participate in Regional and Global projects which require excellent English capability.

Main Responsibilities:

Work closely with Counsel at the China affiliate to carry out the following duties:

  • Independently offers legal advice to business stakeholders across diverse commercial law domains, encompassing contracts, healthcare, advertising, anti-corruption, and competition, with minimal guidance from Senior Counsel.
  • Utilizes negotiation skills and legal proficiency to resolve routine legal matters within the designated scope of responsibility with limited supervision.
  • When dealing with complex problems or requiring specific technical expertise, collaborate closely with supervising Counsel at the affiliate, regional, or global level to offer legal advice and resolve legal issues.
  • Capable of independently drafting commonly used agreements, such as confidentiality agreements, distribution agreements, collaboration agreements, donation, grant or sponsorship agreements, purchasing agreements, renewal and termination agreements.
  • Maintain, update, and contribute to the development of AbbVie's standard contract terms and contract templates.
  • Conduct legal research, identify legal issues relevant to assigned tasks, and propose alternative solutions.
  • Under the supervision of Senior Counsel, represent the Legal department in cross - functional projects or represent the affiliate's Legal team in global Legal projects.
  • Assist in fostering a legal culture within the China affiliate, including training the business team on legal matters.
  • Expected to cultivate in-depth knowledge of the pharmaceutical industry and its regulations, AbbVie’s business operations, and understand the broader business implications of decisions.
  • Manage litigations under the supervision of Senior Counsels.
  • Stay abreast of legal changes that impact AbbVie’s operations.
  • Provide additional legal support, such as legal document filing and information updates, contract management, corporate secretarial services, and company filings. Take charge of the necessary legal procedures for the establishment and maintenance of entities and branch offices.
  • A bachelor or master degree of law from a reputed law school is a must;
  • Qualification as a PRC lawyer or equivalent is a must;
  • Familiar with general contracts, corporate and commercial law
  • Minimum 4 years’ working experience with law firm or at multi-national company;
  • Fluent English writing and communication skills;
  • Team-work spirit is a must; desire to work successfully in a team-oriented environment;
  • Positive working attitude; under supervision, able to manage a demanding workload and prioritize, able to work under pressure; flexibility and ability to adapt to constantly changing priorities;
  • Professional demeanor with strong interpersonal communication skills; maintain positive and effective contact with all team members and business partners;
  • Strong ability and willingness to learn; interests in healthcare industry;
  • Professional and high integrity and ethical standards;
  • Strong OFFICE, computer, and internet research skills.
