Job Description

M&A Senior Associate — Wong & Partners (Baker McKenzie)

Wong & Partners, Baker McKenzie's member firm in Malaysia, is seeking an M&A Senior Associate to join its award-winning Corporate/M&A practice in Kuala Lumpur. The successful candidate will work on high-value cross-border M&A transactions, leveraging Baker McKenzie's global network while applying deep knowledge of Malaysian corporate law and regulatory frameworks.

Key Responsibilities

  • Lead due diligence workstreams for domestic and cross-border M&A transactions involving Malaysian-listed and private companies
  • Draft and negotiate share purchase agreements, shareholders' agreements, and corporate restructuring documents under the Companies Act 2016
  • Advise on regulatory approvals from the Securities Commission Malaysia, Bursa Malaysia, and the Foreign Investment Committee (FIC) where applicable
  • Coordinate with Baker McKenzie offices across ASEAN, Europe, and North America on multi-jurisdictional deals
  • Advise on Malaysian competition law implications under the Competition Act 2010
  • Prepare submissions to the Malaysia Competition Commission (MyCC) for merger clearance

Requirements

  • Advocate and Solicitor of the High Court of Malaya with 5-8 years PQE in corporate/M&A
  • Experience handling M&A transactions with deal values exceeding MYR 100 million
  • Deep knowledge of the Companies Act 2016, Bursa Malaysia Listing Requirements, and Malaysian takeover regulations
  • Familiarity with the Competition Act 2010 and MyCC merger notification processes
  • LL.B. from a recognised university; CLP holder; LL.M. from an international institution is an advantage
  • Excellent English drafting and negotiation skills
  • Willingness to travel for cross-border transactions
