Responsibilities
- Draft and negotiate share purchase agreements (SPAs), shareholder agreements, and corporate governance documents under the Código Civil (Lei 10.406/2002) and Lei das S.A. (Lei 6.404/76)
- Conduct legal due diligence on target companies, analysing corporate, regulatory, tax, and labour risks
- Coordinate with antitrust (CADE filings under Lei 12.529/2011) and regulatory teams on transaction approvals
- Advise boards and shareholders on corporate governance, fiduciary duties, and minority rights under Brazilian law
- Draft opinions on foreign investment restrictions and CVM registration requirements
Requirements
- Bacharel em Direito from a top-tier Brazilian law school; OAB registration active
- 4–7 years' experience in M&A or corporate law at a leading firm
- Strong knowledge of Lei das S.A., Código Civil, and CVM regulations
- Advanced English (written and spoken); Spanish is a plus
- Experience with cross-border transactions preferred
