Abogado Senior — Mercantil y M&A

Uría Menéndez, consistently ranked among Europe's top law firms, is recruiting an Abogado Senior for its flagship Mercantil y M&A practice at Calle Príncipe de Vergara 187 in Madrid's Chamartín district. You will work on Spain's most significant corporate transactions — public takeovers, cross-border mergers, and private equity exits — advising IBEX 35 companies and international corporates under the Ley de Sociedades de Capital and CNMV takeover regulations.

Responsabilidades Principales

• Lead due diligence workstreams and draft share purchase agreements, merger protocols, and joint venture contracts under the Ley de Sociedades de Capital (Real Decreto Legislativo 1/2010)
• Advise on public takeover bids (OPAs) and mandatory offer rules under Real Decreto 1066/2007 and CNMV supervision
• Coordinate with CNMC for merger control filings under the Ley 15/2007 de Defensa de la Competencia
• Manage junior associates and pasantes on complex cross-border deal teams
• Present to boards of directors and participate in high-level negotiations

Requisitos

• Licenciado/Graduado en Derecho from a leading Spanish university (UCM, UAM, ICADE, UPF, ESADE)
• Colegiado at ICAM; Máster de Acceso a la Abogacía completed
• 6-9 years PQE in M&A or corporate law at a first-tier firm
• Experience with CNMV-regulated public offers and CNMC merger clearance
• Excellent English; LLM from a top international university preferred
