Job Description

Structured Finance Associate Solicitor — Ashurst LLP, Birmingham

Ashurst LLP is recruiting a Structured Finance Associate Solicitor for its growing Birmingham office. The firm's structured finance practice is top-ranked and advises on securitisations, covered bonds, and asset-backed lending transactions for major UK and international banks.

Birmingham is one of Ashurst's key regional hubs, offering the opportunity to work on London-quality transactions while being based in England's dynamic second city. You will work closely with the London structured finance team on high-profile deals.

Work Types

  • RMBS, CMBS, and ABS securitisation transactions
  • Covered bond programmes for UK building societies and banks
  • Warehouse and asset-backed lending facilities
  • Regulatory capital transactions and significant risk transfers

Responsibilities

  • Draft and negotiate securitisation transaction documents, including prospectuses and trust deeds
  • Advise originators, arrangers, and investors on structured finance transactions
  • Conduct due diligence on receivables portfolios and origination practices
  • Advise on UK Securitisation Regulations and regulatory capital treatment
  • Coordinate rating agency processes and legal opinion requirements
  • Support business development initiatives in the Birmingham and Midlands market

Requirements

  • Qualified Solicitor of England and Wales with 2-5 years PQE in structured finance or banking
  • Experience in securitisation transactions (RMBS, CMBS, ABS, or CLOs)
  • Knowledge of the UK Securitisation Regulations and FCA/PRA requirements
  • Understanding of true sale, assignment, and trust structures under English law
  • Strong drafting skills and attention to detail
  • Ability to manage complex documentation sets and coordinate multiple parties
