Job Description

Nordea, the largest financial services group in the Nordics, is looking for a Legal Counsel to join our Capital Markets legal team in Helsinki. You will provide legal support for debt and equity capital markets transactions across the Nordic region.The role involves advising on bond issuances, IPOs, and secondary offerings under Finnish and EU securities regulation. You will work closely with Nordea's investment banking division and coordinate with FIN-FSA (Finanssivalvonta) on prospectus approvals and regulatory

Responsibilities

Provide legal advice on debt and equity capital markets transactions. Draft and review prospectuses, offering memoranda, and subscription agreements. Coordinate FIN-FSA prospectus approval processes. Advise on ongoing disclosure obligations and MAR compliance. Support the investment banking team on structured products and derivatives documentation.

Requirements

OTM degree from a Finnish university. 3-6 years of capital markets or securities law experience. Knowledge of Finnish Securities Markets Act and EU Prospectus Regulation. Experience working with FIN-FSA or equivalent financial supervisory authority. Fluent in Finnish and English; Swedish is a plus.
